1. Acceptance of Terms
Welcome to OnderVolk. By accessing, browsing, registering for, or using the OnderVolk website (ondervolk.com), mobile applications, field calculation tools, invoice payment links, customer portals, and related services (collectively, the “Platform” or “Services”), you (“User,” “Subscriber,” “Contractor,” or “Customer”) agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.
If you are entering into these Terms on behalf of a company, partnership, or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree with all provisions of these Terms, you may not access or use the Services.
2. Scope of Services & Description
OnderVolk provides software tools specifically engineered for skilled trade professionals (including electrical, plumbing, HVAC, landscaping, roofing, framing, concrete, and specialty trades). The Services include:
- Field trade calculators, load formulas, material takeoffs, and inspection workflows.
- Contractor Price Book management, cost catalogs, and profit margin floor protection engines.
- Good/Better/Best 3-tier digital proposal and quote generation.
- Customer-facing invoice review, approval, deposit collection, and payment portals.
- Customer Equipment & Warranty Vaults for tracking installed serials and scheduled service intervals.
- Post-job private feedback collection and Google Review acceleration loops.
3. Professional Engineering & Building Code Disclaimer
OnderVolk does NOT provide professional engineering, architectural design, or structural certification services. Contractors and technicians remain 100% responsible for verifying all calculations against applicable local, municipal, state, and national building codes (including but not limited to the National Electrical Code [NEC], International Plumbing Code [IPC], Uniform Plumbing Code [UPC], International Residential Code [IRC], and ASHRAE standards), site-specific blueprints, manufacturer specifications, and permit requirements before executing physical work or ordering supplies.
4. Payment Processing & Financial Transactions
OnderVolk integrates with third-party payment gateway providers, primarily Stripe, Inc.(“Payment Processor”), to facilitate credit card, debit card, Apple Pay, Google Pay, and bank transfer payments between Contractors and their Homeowner/Commercial clients.
- Independent Platform: OnderVolk is an independent software technology platform and is not a bank, money transmitter, escrow agent, or financial institution.
- Payment Processing Terms: Payment processing services for Contractors on OnderVolk are subject to the Stripe Connected Account Agreement and Stripe Services Agreement. By accepting payments via OnderVolk, Contractors agree to be bound by Stripe’s applicable terms.
- Transaction Fees: Payments processed through OnderVolk may incur standard payment gateway processing fees and platform service fees as disclosed during setup and checkout.
- Disputes & Chargebacks: Contractors are solely responsible for all chargebacks, refunds, claims, or disputes initiated by their clients. OnderVolk is not liable for unpaid invoices, fraudulent client transactions, or merchant chargeback losses.
5. Contractor-Customer Relationship & Contractual Autonomy
Estimates, quotes, change orders, and invoices created through the Platform constitute direct agreements solely between the Contractor and their Customer (Homeowner or Commercial property owner). OnderVolk is not a party to any contract for trade services, repair work, construction, or maintenance.
OnderVolk does not endorse, guarantee, warrant, or assume liability for:
- The quality, safety, legality, or timeliness of work performed by any contractor.
- The truth or accuracy of contractor licensing, insurance, bonding, or credentials.
- Equipment warranties or manufacturer performance guarantees recorded in the Equipment Vault.
- The ability or willingness of any customer to pay agreed-upon invoice balances.
6. Subscriptions, Billing, Seat Limits & Cancellations
OnderVolk offers three (3) distinct tiers of paid software subscriptions billed on a monthly or annual recurring basis:
- Solo Operator (Starter Plan): Designed for independent tradespeople. Includes one (1) Master User License (Mobile & Web). Strictly limited to one (1) user seat. Does not support multi-user dispatch, role-based crew security, or third-party accounting integrations.
- Crew Pro (Growth Plan): Designed for small to medium-sized contracting teams. Includes up to six (6) mobile technician and helper seats. Standard features include the 3-Tier Good/Better/Best upsell engine, Route Optimization, Live GPS Dispatch, and the automated Google Review gatekeeper.
- Empire Fleet (Scale Plan): Designed for high-volume multi-crew operations. Permits unlimited technician, subcontractor, and dispatch seats. Includes access to live multi-supplier price radars, multi-van inventory tracking and replenishment workflows, 1099 subcontractor splits with direct Stripe Connect payouts, and 2-way Intuit QuickBooks (Online & Desktop) data integration.
By subscribing to any of our plans, you agree to the following billing policies:
- 14-Day Free Trial: All new contractor registrations qualify for a 14-day free trial. If a credit card is provided on file, it will not be billed until the end of the trial period. You can cancel at any point during the 14 days without charge.
- Seat Enforcement: Contractors agree not to share unique user credentials or PINs across multiple personnel. Exceeding the seat limits of the Solo Operator or Crew Pro plans requires an automatic upgrade to the next tier or additional seat licenses.
- 1099 Subcontractor Splits & Stripe Connect: Contractors utilizing subcontractor split features represent and warrant that they maintain all necessary 1099 independent contractor agreements and tax reporting obligations (e.g. Form 1099-NEC). OnderVolk facilitates software calculations and automated transfer requests via Stripe Connect, but does not act as an employer, tax withholding agent, or legal intermediary.
- Multi-Van Warehouse & Inventory: Fleet inventory tracking and replenishment tickets are internal operational tools. The Contractor is solely responsible for verifying physical cargo loading, weight limits, and hazardous material compliance.
- QuickBooks & Accounting Data: Under the Empire Fleet plan, the Contractor is solely responsible for verifying the accuracy of ledger entries, tax rates, and invoice statuses synced between OnderVolk and QuickBooks Online or QuickBooks Desktop. OnderVolk is not responsible for accounting discrepancies or tax filing errors.
- Billing Cycle: Subscriptions are billed in advance on a recurring monthly or annual cycle starting on the date of activation or trial expiration.
- Automatic Renewal: Unless you cancel your subscription before the end of the current billing cycle via the self-service billing portal, your subscription will automatically renew at the current published rate.
- Cancellation: You may cancel your subscription at any time through the self-service Stripe Billing Portal inside your account. Upon cancellation, your access remains active until the end of your current paid billing period. We do not provide refunds or credits for partial billing cycles.
- Price Changes: We reserve the right to modify subscription fees with at least thirty (30) days advance notice to active subscribers.
7. Communications, SMS & 10DLC Compliance
Contractors may use OnderVolk to transmit transactional links (such as estimate review requests, deposit approvals, invoice payments, equipment warranty passports, and review invites) to their clients via SMS text messaging and email.
Contractors certify and warrant that:
- They have obtained all requisite prior express consent from customers before initiating SMS communications in compliance with the Telephone Consumer Protection Act (TCPA) and applicable cellular carrier 10DLC regulations.
- They will not utilize the Platform to transmit unsolicited commercial advertisements or spam.
- Recipients can opt out of SMS communications at any time by replying “STOP”.
8. Intellectual Property & User Content
All software, UI design, code algorithms, trade calculators, logos, documentation, and platform branding are the exclusive property of OnderVolk Inc. and are protected by United States and international copyright, trademark, and trade secret laws.
Contractors retain all ownership rights in their business logos, uploaded price lists, customer records, and customized estimate descriptions. By using the platform, you grant OnderVolk a non-exclusive, worldwide, royalty-free license to host, display, and process your content strictly to the extent necessary to deliver the Services.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ONDERVOLK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ONDERVOLK INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, OR WORK STOPPAGES) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY. IN NO EVENT SHALL ONDERVOLK’S AGGREGATE LIABILITY EXCEED THE TOTAL FEES PAID BY YOU TO ONDERVOLK DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding confidential arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
